Platform data agreement
Effective date: October 28, 2026 · Last updated: October 28, 2026
This data agreement (“Agreement”) is between 45Squared LLC, a Michigan limited liability company that makes ScoutedLead (“ScoutedLead”, “we”), and the platform named in an order form that refers to this Agreement (“Platform”, “you”). It adds to the ScoutedLead terms of service and that order form. If they conflict on how lead data is handled, this Agreement wins. It takes effect when the order form is signed.
1. The short version
- We supply business contact details and findings about local businesses, gathered from those businesses’ own public websites.
- You’re the sender. You decide whether to contact each business, and every email, call or other message goes out in your name, from your systems, under your control.
- You follow the rules for that outreach: CAN-SPAM, honoring opt-outs and our do-not-contact list, no Canada without consent, no cold texts.
- Each of us is independently responsible for its own handling of the data. Neither of us processes data on the other’s behalf.
2. Definitions
- Lead Data: each lead record we deliver: business name, website, city, category, business email and phone, owner or manager name and title (only when the business’s own site names them), findings with evidence, the neighbor comparison, drafted messages, preview link, and any Google
place_id. - Do-Not-Contact List: our list of business domains (and, where given, email addresses) that asked not to be contacted through ScoutedLead.
- Opt-Out: any request by a business or person, by any channel, not to be contacted, or to be removed.
- Purpose: your own business-to-business sales and marketing, to the business in the lead, of the products named in the order form.
3. What we do
These are our commitments for every delivery of Lead Data to you. They cover where the data comes from, which businesses never reach you, what we leave out, and what we do when a business opts out or something goes wrong. If we can’t meet one of them, we’ll tell you.
What we collect and leave out
- Collect only public business information, mainly from each business’s own website, and keep a record of the page each detail came from.
- Use only business contact details: an email the business publishes (usually at its own domain) and a business phone number. No personal emails, home addresses or sensitive data.
- Exclude any business on the Do-Not-Contact List, and any business located in California or Canada, from every delivery.
- Exclude Google Maps content. Lead Data never contains Google ratings, review counts, hours or other Google content; at most a
place_id. If you want Google data, you use your own Google Maps Platform account and follow its terms.
Previews, opt-outs and security
- Run previews responsibly (on
preview.scoutedlead.comor a domain you point to us): a visible “not affiliated” notice, no search indexing, a 30-day expiry, and removal on request. - Process Opt-Outs you report within 2 business days, and pass on to you any Opt-Out we receive about a business we’ve already delivered to you, within 2 business days.
- Secure Lead Data in our systems and delete it on our retention schedule: evidence after 180 days, previews after 30 days, lead records 12 months after the last check.
- Tell you within 72 hours of confirming a security breach that affects Lead Data we delivered to you.
4. What you agree to
These are your commitments as the party that uses Lead Data and sends the outreach. They cover how you may use the data, the rules for every message you send, and what you do to keep the data secure and delete it at the end. They apply to anyone you let use Lead Data.
Using the data
- Use Lead Data only for the Purpose. Don’t sell, rent, license, publish or share it with anyone else, except your employees and contractors who need it for the Purpose and are bound by terms at least as protective as these.
- Don’t combine Lead Data with consumer data to build profiles of individuals, or use it for any eligibility decision (credit, employment, insurance, housing).
- Comply with all privacy laws that apply to you, give Lead Data the level of protection those laws require, and tell us if you can no longer meet these obligations.
- Don’t append personal (non-business) contact details to Lead Data.
Sending
- You’re the sender for CAN-SPAM purposes. Every commercial email you send to a lead must: - identify you accurately in the “From” line and headers; - use a subject line that isn’t misleading; - identify the message as an advertisement where the law requires it; - include your valid physical postal address; and - include a working opt-out that you honor within 10 business days (we ask for 2).
- Honor the Do-Not-Contact List. Before each send, check against the current list (through the API, the feed flag or the CSV we provide). Never contact a business on it.
- Report Opt-Outs back to us through
POST /v1/leads/{id}/outcomewithopted_out, by CSV, or by email to aaron@scoutedlead.com, within 5 business days, so other ScoutedLead customers stop too. - No Canada. Don’t use Lead Data to contact a business in Canada unless you have consent that meets CASL. We exclude Canada; this covers any Canadian business that slips through.
- No cold texts or robocalls. Don’t send SMS or make autodialed or prerecorded calls to Lead Data contacts without the consent the TCPA and state law require. Live calls must respect national and state do-not-call rules where they apply.
Tracking, volume and previews
- Tracking. If you use open or click tracking, you’re responsible for any disclosure it requires.
- Volume. Keep sending volumes and practices reasonable (we recommend no more than 30 cold emails a day per mailbox) and stop any campaign that draws a high rate of complaints.
- Previews. Share a preview link only with the business it was made for, and only after that business has said it wants to see it. Don’t remove the “not affiliated” notice or present a preview as the business’s real site. Remove, or ask us to remove, any preview on request.
- No search database, no mass email. Don’t copy, scrape or bulk-export Lead Data, the feed or previews to build or improve a search engine, directory, database or index of businesses for anyone else, or to train, evaluate or improve AI models, and don’t use Lead Data for unsolicited mass email. Pass these same restrictions on to anyone you let use Lead Data.
Security and endings
- Protect Lead Data with reasonable administrative, technical and physical safeguards, and tell us within 72 hours of confirming a breach involving it.
- When this Agreement ends, delete Lead Data for businesses that haven’t become your customers or active sales conversations within 30 days, and confirm in writing. Opt-Outs you reported stay on our list.
5. Requests from individuals and regulators
If a business or person asks either of us to access, correct or delete Lead Data about them, the party that receives the request handles it under its own policy. If the request is to delete or to stop contact, that party tells the other within 5 business days so both can act on it. Each of us will reasonably help the other answer a regulator’s inquiry about Lead Data.
6. Responsibility
- You’re responsible for the messages you send and for your compliance with section 4. You’ll defend and indemnify ScoutedLead against claims, fines and costs arising from your outreach or your breach of this Agreement.
- We’re responsible for our collection practices and for honoring the Do-Not-Contact List in what we deliver.
- The limits of liability in the terms of service apply, except that they don’t limit your indemnity under this section or either party’s liability for misuse of Lead Data.
7. Audit and term
On reasonable notice, no more than once a year, you’ll answer a written questionnaire about your compliance with section 4 and show evidence that you honor the Do-Not-Contact List. We may suspend deliveries if we have a good-faith reason to believe you aren’t complying.
This Agreement lasts as long as we deliver Lead Data to you. Section 4 (for data you still hold), section 5 and section 6 survive its end.
