Terms of service

Effective date: October 28, 2026 · Last updated: October 28, 2026

These terms are an agreement between 45Squared LLC, a Michigan limited liability company (“45Squared”, “we”, “us”), which makes ScoutedLead, and the business that signs up for or uses ScoutedLead (“Customer”, “you”). The person accepting these terms confirms that they can bind that business.

ScoutedLead is for businesses only. It isn’t offered to consumers or for personal, family or household use. Platform customers also sign our platform data agreement, which governs how lead data is handled.

1. What ScoutedLead does

ScoutedLead finds local businesses that may need what you sell, using what those businesses publish on their own websites. For each lead we may supply:

  • the business’s name, website, city and category;
  • business contact details the business publishes (a business email address and phone number) and, when the business’s own site names them with a role, the owner or manager’s name and title;
  • “findings”: specific, checkable observations about the business’s website (for example, “no online booking button on the homepage”), with the date and the evidence (such as a screenshot) behind them;
  • a neighbor comparison, counted from other businesses checked in the same run;
  • a drafted first email and call opener; and
  • optionally, a private preview page showing what a fix could look like (section 7).

We call these scouted leads: businesses we found and kept because their own websites show a specific reason to contact them. We don’t promise that any lead, contact detail or finding is accurate, complete or current, or that any lead will reply, buy or become your customer. Websites change, and our checks can be wrong.

2. ScoutedLead never sends messages

ScoutedLead doesn’t send email, texts or any other message to the businesses in your leads. You decide whether to contact a lead, and you send every message yourself, from your own systems and in your own name. Drafts are suggestions; you’re responsible for reviewing and editing them before use.

3. Accounts and access

  • Access is by invitation. You must give accurate sign-up information and keep your logins and API keys secure.
  • You’re responsible for everything done under your account or keys.
  • Tell us promptly at aaron@scoutedlead.com if you think your account or keys have been misused.
  • We may suspend a login or key that we reasonably believe is compromised, and we’ll tell you when we do.

4. Samples, plans and fees

  • Free sample. We may offer a free sample of up to 25 scouted leads. A sample is provided as is, with no fees, and either of us can end it at any time.
  • Paid plans. Fees, lead volumes, territories and any setup fees are set out in an order form, quote or statement of work that both of us accept (“Order”). We don’t publish a price list. If an Order conflicts with these terms, the Order wins for that Order only.
  • Payment. Unless the Order says otherwise, fees are invoiced monthly in advance and due within 15 days. Fees don’t include taxes; you pay any sales, use or similar taxes except taxes on our income.
  • Credits. Where an Order provides credits for bounced or plainly wrong leads, the credit is your only remedy for those leads.
  • Late payment. We may suspend the service if an invoice is more than 30 days overdue, after giving you notice.

5. Your responsibilities

These are the rules for the outreach you send and for how you handle the leads we deliver. They exist because the leads describe real businesses and, sometimes, the people who run them, and because a single customer’s careless sending would hurt every other customer and the businesses themselves. You agree to everything below.

Your outreach

  1. Follow the law that applies to your outreach, including the CAN-SPAM Act and state email laws, the Telephone Consumer Protection Act and do-not-call rules, and any law of the place where the recipient is.
  2. Not send texts (SMS) or make prerecorded or autodialed calls to any lead without the consent the law requires. ScoutedLead is built for email and live phone calls only.
  3. Not contact leads in Canada unless you have consent that meets Canada’s Anti-Spam Legislation (CASL). We exclude Canada; if any Canadian business slips through, this still applies.
  4. Honor opt-outs. Stop contacting any business that asks you to, add it to your own suppression list, and report it back to us (through the outcomes API, by CSV or by email to aaron@scoutedlead.com) so we add it to our do-not-contact list. Never contact a business we’ve marked do-not-contact.
  5. Include in every commercial email your own accurate sender identity, a valid postal address and a working way to opt out, and use honest subject lines.
  6. Not misrepresent who you are, that you’re affiliated with the lead, or what a preview is.

How you use leads

  1. Use leads only for your own business-to-business sales and marketing of the products and services named in your Order.
  2. Not resell, sublicense, publish or share leads, previews or evidence with anyone else, except your own staff and contractors who need them for that purpose and are bound by the same rules.
  3. Not use leads to decide anyone’s eligibility for credit, employment, insurance, housing or similar purposes, or to target individuals for anything other than business outreach.
  4. Keep leads secure with reasonable safeguards and delete them when the subscription ends (section 9).
  5. Not turn leads into a search product or mass email. Don’t copy, scrape or bulk-export leads, feeds or previews to build or improve a search engine, directory, database or index of businesses for anyone else, or to train, evaluate or improve AI models, and don’t use leads for unsolicited mass email.

6. Data you receive from us

  • Leads contain information about businesses and, in some cases, the people who run them (a name, title, business email or phone). Treat it as personal information where the law says it is.
  • Google data. Leads and feeds don’t include Google ratings, review counts, opening hours or other Google Maps content. If a lead carries a Google place_id, it’s only an identifier. If you use Google Maps Platform yourself, you do so under your own Google account and Google’s terms.
  • Source. Contact details come from what each business publishes on its own website. We keep a record of where each detail was found.

7. Preview pages

  • A preview is a private web page we generate on preview.scoutedlead.com (or, for a platform, on a domain it controls) showing what a change could look like for a specific business. It may show that business’s name, logo, colors and publicly visible content from its own site.
  • Every preview carries a visible notice that it’s a sample and is not affiliated with or endorsed by the business. Previews aren’t indexed by search engines, expire after 30 days, and are removed promptly if the business asks.
  • You may share a preview link only with the business it was made for, and only after it has said it wants to see it.
  • You must not edit a preview to remove the notice, present it as the business’s real site, or use it for anything other than a sales conversation with that business.

8. Our intellectual property

ScoutedLead, its software, templates, detectors, playbooks, drafts and previews (excluding each business’s own name, logo and content) belong to 45Squared. We give you a limited, non-exclusive, non-transferable right to use the service and the leads delivered to you during your subscription, for the purpose in section 5 (how you use leads). You may not copy, reverse engineer or build a competing product from the service.

Feedback and outcomes. If you send us feedback or report outcomes (replied, wrong lead, opted out, won), we may use that information to improve ScoutedLead, including for other customers, in a form that doesn’t identify you.

9. Term, ending and what happens to data

  • These terms start when you accept them and continue while you have an active sample or Order.
  • Either party may end a month-to-month plan with 30 days’ notice. Fixed-term Orders end as stated in the Order.
  • Either party may end the agreement at once if the other materially breaches it and doesn’t fix the breach within 15 days of notice. We may suspend access immediately if we reasonably believe you’re breaking section 5, for example by sending to opted-out businesses or into Canada without consent.
  • When the agreement ends, your right to use leads ends. Within 30 days you must delete leads we supplied that haven’t become your customers or active sales conversations, and tell us when that’s done.
  • Opt-outs you’ve reported stay on our do-not-contact list after the agreement ends.

10. Confidentiality

Each of us will keep the other’s non-public business information (including pricing, playbooks, CRM data and outcome data) confidential, use it only for this agreement, and protect it with reasonable care. This doesn’t cover information that is public, already known, independently developed or lawfully received from someone else, or that the law requires to be disclosed (with notice where allowed).

11. Disclaimers

THE SERVICE, LEADS, FINDINGS, DRAFTS AND PREVIEWS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON’T GUARANTEE REPLIES, MEETINGS, SALES OR DELIVERABILITY.

You’re responsible for checking a lead before acting on it. Some places don’t allow these disclaimers to be limited, so parts of this section may not apply to you.

12. Limits on liability

  • Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.
  • Each party’s total liability under this agreement is limited to the fees you paid us in the 12 months before the claim, or $100 if you’re on a free sample.
  • These limits don’t apply to your obligations in section 5 (lawful use of leads) and section 13 (your indemnity), to either party’s breach of section 10, or to amounts you owe us.

13. Indemnity

You’ll defend and indemnify 45Squared against third-party claims, fines and costs arising from the messages you send, your use of leads or previews, or your breach of section 5. We’ll defend and indemnify you against third-party claims that the ScoutedLead software itself (not the business content shown in a preview, and not the leads) infringes a US intellectual property right.

14. Changes

We may change these terms by giving at least 30 days’ notice by email or in the service. Changes don’t apply to a fixed-term Order until it renews. If you don’t agree, you may end your plan before the change takes effect. The date at the top of this page shows when these terms last changed.

15. General

  • Law and courts. Michigan law governs these terms, without regard to conflict-of-law rules. Disputes go to the state or federal courts in Kent County, Michigan, and both parties consent to their jurisdiction.
  • Assignment. Neither party may assign this agreement without the other’s consent, except to a successor in a merger or sale of the business, with notice.
  • Service providers. We use service providers to run ScoutedLead (see the privacy policy). We remain responsible for them.
  • Entire agreement. These terms, any Order and, for platforms, the data agreement are the whole agreement on this subject.
  • Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as outages of internet or cloud providers, natural disasters or government action, except for payment obligations.
  • Severability and waiver. If a court finds part of these terms unenforceable, the rest stays in effect. Not enforcing a term isn’t a waiver of it.
  • Independent contractors. The parties are independent businesses. Nothing here creates a partnership, joint venture, agency or employment relationship.
  • Notices. To us: 45Squared LLC, 2155 W Belmont Ave #1137, Chicago, IL 60618, and aaron@scoutedlead.com. To you: the email on your account.
